Terms of service.
Plain-English version: you pay us once, we run your books software for life, your data is yours and leaves with you any time, 30-day refund. Below is the legally-binding version with the full set of definitions, limits, and warranties.
01The agreement
These Terms of Service ("Terms") are a binding contract between you ("Customer," "you") and BooksGPT, Inc. ("BooksGPT," "we," "us"). By creating an account, paying for a license, or using the Service in any way, you agree to these Terms. If you don't agree, don't use the Service. And we'll refund any payment within 30 days.
"Service" means the BooksGPT web application, mobile apps, API, connectors, and any other software or documentation we make available under the BooksGPT name.
02Lifetime license
You pay once. You get to use BooksGPT for as long as the Service exists. We don't have a subscription. We don't plan to add one. If we ever wind down the Service, we'll give you 18 months' notice and a full data export.
Subject to your payment of the one-time fee and your compliance with these Terms, BooksGPT grants you a perpetual, worldwide, non-exclusive, non-transferable license to use the Service for the business entity you registered under, including all updates and enhancements we release during the Service's commercial lifetime.
The license covers the plan you purchased (Solo or Business) with its associated monthly AI usage limits (see section 5). The license is per business entity. If you operate a second business, you'll need a second license.
If we ever wind down the Service
If BooksGPT ever decides to stop operating the Service, we will give you at least 18 months' written notice, provide a full data export in standard formats (CSV, QBO journal, PDF), and. If reasonable. Release the read-only books software as open-source under a permissive license so you can run your own copy.
03Your account
You must be at least 18 and authorized to bind your business to these Terms. You're responsible for keeping your password and any API keys confidential, and for all activity that happens under your account. Notify us immediately if you suspect unauthorized access.
04Payments & refunds
One payment, processed by Stripe. 30-day no-questions refund. The 5× Boost (if you turn it on) is the only recurring charge, and you can turn it off any time.
The license fee is a one-time charge at the price listed on our pricing page on the day you purchase. Payments are processed by Stripe; we don't store full card numbers.
30-day refund. If you ask for a refund within 30 days of purchase. For any reason or no reason. We will refund the full license fee. Email [email protected] and we'll process it within 5 business days. After 30 days, refunds are at our discretion.
5× Boost. If you turn on the optional 5× Boost ($15/month at current pricing), that charge recurs monthly until you turn it off. You can turn it off at any time from Settings; the cancellation takes effect at the end of the current billing month.
Price changes. Once you've purchased your lifetime license, your license is locked at that price forever. We can change list prices for new customers, and we can change the 5× Boost monthly fee with 60 days' notice. But your already-purchased license never increases in price.
05Usage limits & boost
Each plan includes monthly limits on AI-categorized transactions and AI consultations:

Bank imports and historical data are not subject to any limit. If you exceed an AI limit and don't turn on the 5× Boost, your transactions still import; they just sit in a queue marked "needs categorization" until next month, or until you boost.
06Your data is yours
You own everything you put in. You can export all of it in machine-readable form at any time. If you leave, you take it with you. We don't have a lock-in clause; we'd rather earn your loyalty.
You retain all right, title, and interest in and to your books data ("Customer Data"). You grant BooksGPT a limited license to host, process, display, and transmit your Customer Data solely to provide the Service and as described in our Privacy Policy.
You can export your Customer Data at any time. PDF, CSV, or QBO journal format. From Settings → Data → Export. After you delete your account, you have 90 days to come back; after that, we permanently delete your Customer Data per our retention policy.
07AI outputs & accuracy
BooksGPT uses machine learning to categorize transactions, draft invoices, and surface anomalies. AI outputs are defaults you can edit, not financial advice. You are responsible for reviewing the AI's work and approving anything that goes onto your ledger or to a client.
We publish our held-out eval results in good faith. The most recent results (v1.4) show 99.9% categorization accuracy on our 50K-transaction set. We do not guarantee any specific accuracy for your particular books, and we are not liable for tax positions, business decisions, or invoices sent based on AI outputs that you did not review.
BooksGPT does not provide tax, legal, or accounting advice. Talk to a licensed CPA, EA, or attorney for advice on your specific situation. We are software, not a fiduciary.
08Acceptable use
You agree not to:
- Use the Service for any illegal purpose, including but not limited to money laundering, tax evasion, or transactions involving sanctioned parties.
- Reverse-engineer, decompile, or attempt to extract our model weights (which are not part of the Service we license to you).
- Resell, sublicense, or share access to the Service with parties outside the business entity you registered under.
- Attempt to exceed your usage limits through automation, multiple accounts, or circumvention.
- Upload malware, attempt to compromise our infrastructure, or interfere with other customers' use.
We may suspend or terminate accounts that violate this section. Where the violation is fixable, we'll give you 14 days' notice to fix it; serious violations (fraud, hacking) get immediate termination.
09Intellectual property
BooksGPT retains all right, title, and interest in the Service. The software, the AI models, the documentation, the brand. Your lifetime license grants you a right to use the Service, not ownership of it.
If you give us feedback (a bug report, a feature request, an idea), we may use it without obligation to you. We won't claim ownership of your feedback; we just want to be able to build the thing you suggested.
10Warranties & disclaimers
We warrant that the Service will substantially conform to its documentation, and that we will use commercially reasonable efforts to maintain at least 99.9% monthly uptime, excluding scheduled maintenance windows announced in advance.
Otherwise, the Service is provided "as is." To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage.
11Limitation of liability
To the maximum extent permitted by law:
- Our total cumulative liability to you for any claim arising out of these Terms or the Service is capped at the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) $1,000.
- Neither party is liable to the other for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
- These limits do not apply to (i) breach of confidentiality, (ii) indemnification obligations, or (iii) gross negligence or willful misconduct.
12Termination
You can terminate your account at any time from Settings → Account → Delete. We can terminate or suspend your account for material breach of these Terms with 14 days' notice (or immediately for the serious violations in section 8). On termination:
- Your access to the Service ends.
- You have 90 days to export your data; after that, we delete it.
- You are not entitled to a refund of the license fee unless you're within the 30-day refund window.
- Sections that should reasonably survive termination (IP, liability, indemnity) survive.
13Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute that can't be resolved by good-faith discussion will go to binding arbitration in Oakland, California, under the AAA Commercial Rules. Except that either party can sue in small-claims court for an individual claim, and either party can seek injunctive relief in any court of competent jurisdiction for IP claims.
Class actions are waived. You agree to resolve any disputes on an individual basis, not as part of a class or representative action.
14Changes to terms
We may update these Terms when the Service evolves. Material changes (anything that affects your rights or obligations) get at least 30 days' email notice before they take effect. Non-material clean-ups (typos, clarifications) take effect on posting. If you don't agree to a material change, your remedy is to stop using the Service. And if it's within 30 days of the original purchase, request a refund.
